Governance & Parliamentary Procedure
Board of Directors
The elected or appointed governing body responsible for overseeing an organization's strategic direction, finances, and compliance. The board sets policy while staff or volunteers handle day-to-day operations.
Bylaws
The written rules governing an organization's internal operations, including membership requirements, meeting procedures, officer roles, and amendment processes. Bylaws are subordinate to the organization's constitution or articles of incorporation.
Quorum
The minimum number of members who must be present at a meeting for business to be legally conducted. Without a quorum, votes taken are generally invalid and non-binding.
Event Management
Event Check-In
The process of confirming attendee arrival and providing them with necessary materials like name badges, programs, and access credentials. Modern check-in often uses QR codes or mobile apps.
Event Registration
The process by which attendees sign up for an event, providing their information and often paying a fee. Registration systems collect data, manage capacity, and facilitate communication.
No-Show Rate
The percentage of registered attendees who do not attend an event without canceling. Tracking no-show rates helps organizations plan more accurately for future events.
QR Code

Waitlist
An ordered list of people who want to attend a sold-out or full-capacity event. When spots open up through cancellations, waitlisted individuals are offered the opportunity to register in order.

The process of billing and receiving membership fees from members. Modern dues collection uses automated recurring payments, online payment portals, and reminder systems to maximize collection rates.
Member Directory
A searchable listing of organization members that facilitates networking and communication. Directories typically include contact information, roles, and other details that members choose to share.
Member Portal
A secure online area where members can manage their membership, update personal information, pay dues, register for events, and access member-only resources and content.

Association Management System (AMS)
A comprehensive software platform designed specifically for managing membership organizations, combining member database, dues processing, event management, and communications into one system.
Digital Membership Card
A virtual version of a membership card stored on a member's smartphone, typically accessible through a mobile app or digital wallet. Digital cards are convenient, always available, and easy to update.
Dues Automation
The use of software to automatically handle the entire dues collection cycle, including invoicing, payment processing, reminders, receipt generation, and membership status updates.
Mobile App
A software application designed for smartphones and tablets that gives members on-the-go access to organizational features like event registration, dues payment, member directory, and notifications.
